Terms and Conditions
1. Agreement to Terms
By engaging with Devy Code for services, you agree to be bound by these Terms and Conditions. These terms form a legally binding contract between you (the 'Client') and Devy Code.
2. Services
Devy Code provides web and application development, branding, UI/UX design, DevOps, SEO, and digital consulting services. The specific scope of work, deliverables, and timelines for each project will be detailed in a separate Project Proposal or Agreement, which forms part of these terms.
3. Payment Terms
Our standard payment structure is as follows:
• 50% Upfront Deposit: A non-refundable deposit of 50% of the total project fee is required before any work begins.
• 50% Final Payment: The remaining 50% is due upon completion of the project, prior to the deployment of the final deliverables to your live server or handover of the code.
All payments must be made by the due dates specified on the invoice.
4. Refund Policy
Our services are non-refundable once work has commenced, as outlined in our detailed Refund Policy.
5. Intellectual Property Rights
Client Ownership: Upon receipt of the final and full payment for a project, Devy Code grants and transfers to the Client all rights, title, and interest in the final, delivered source code, designs, and other project deliverables.
Portfolio Rights: Devy Code retains the right to display and feature the completed project (including visual representations and a general description) in our portfolio, case studies, and other marketing materials.
6. Project Timelines and Delays
We are committed to meeting the project timelines outlined in the Project Proposal. Devy Code takes full responsibility for any delays caused by our team.
However, timelines are contingent upon the Client's timely provision of necessary assets, information, and feedback. Delays caused by the Client may result in adjustments to the project schedule.
7. Scope of Work and Revisions
The project scope is strictly limited to the deliverables outlined in the Project Proposal. Any request for work outside this scope ('scope creep') will require a new proposal and may incur additional charges. We will always discuss and agree upon any changes with you before proceeding.
8. Confidentiality
Both Devy Code and the Client agree to keep all confidential information (including proprietary business information, trade secrets, and project details) private and not to disclose it to any third party without prior written consent.
9. Limitation of Liability
Devy Code shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising from the use of our services. Our total liability for any claim arising out of our services is limited to the total amount paid by the Client for those services. We are not responsible for issues arising from third-party hosting, plugins, or services.
10. Termination
Devy Code reserves the right to suspend or terminate services if the Client breaches these terms, including failure to make timely payments. The Client may terminate the contract, but any payments made up to that point will remain non-refundable.
11. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Lebanon. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Beirut.
